This End User License Agreement (“Agreement”) is between you and Doric Stack LLC (“Doric Stack,” “we,” “us,” or “our”) and governs your use of Doric Stack downloadable software, namely Gopan, together with updates and documentation (the “Software”).
By downloading, installing, activating, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
License grant
Doric Stack grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software for your own personal or internal professional use, subject to this Agreement and your active subscription or purchase. This is a license, not a sale. Doric Stack reserves all rights not expressly granted.
Seats and devices
Unless your purchase states otherwise, each license covers activation on up to two devices that you own or control. Additional devices or seats require additional licenses.
License keys and activation
The Software uses a license key and online activation. Activation requires an internet connection so the Software can validate the license with Doric Stack. The key is tied to your licensed device count. If the activation service cannot be reached, the Software may continue to operate for a limited offline grace period and then ask you to reconnect. Doric Stack may revoke or deactivate a key if this Agreement is breached, if the license is shared or transferred without permission, or if a chargeback or fraud is involved.
Restrictions
You will not, and will not allow others to:
- reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction;
- copy, distribute, sublicense, rent, lease, lend, sell, or resell the Software or your license key;
- create derivative works of the Software;
- circumvent, disable, or interfere with the license, activation, or capture-boundary features;
- remove or alter any copyright, trademark, or other proprietary notices.
Ownership
Doric Stack and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. You receive a license to use the Software. You do not acquire ownership of the Software or any intellectual property in it.
Updates and support
Doric Stack may provide updates, fixes, and new versions at its discretion. Updates are part of the Software and are covered by this Agreement unless they come with separate terms. Support is provided as described at purchase or on the product page, and may depend on a current subscription.
Term and termination
This Agreement is effective until terminated. It terminates automatically if you breach it. On termination you must stop using the Software and destroy all copies in your control. The sections on ownership, restrictions, warranty disclaimer, limitation of liability, export compliance, and governing law survive termination.
Warranty disclaimer
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, Doric Stack DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Doric Stack WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. Doric Stack‘S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM.
Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited or excluded under applicable law.
Export compliance
You represent that you are not located in a country subject to a United States government embargo, and that you are not on any United States government list of prohibited or restricted parties. You agree to comply with all applicable export and sanctions laws and not to export, re-export, or use the Software in violation of them.
United States Government users
The Software is “commercial computer software.” If you are a United States Government end user, the Software is provided with only the rights granted to all other end users under this Agreement, consistent with FAR 12.212 and DFARS 227.7202.
Third-party and open-source components
The Software may include third-party or open-source components licensed under their own terms. Those terms apply to those components and, where required, are listed in the Software documentation or notices.
AI features and call assistance
Some features of the Software, including Gopan Assist, provide AI-generated transcription, summaries, suggestions, and other output, and may capture or process audio, on-screen content, or text from your meetings, calls, and documents.
AI output is not advice
AI output is generated automatically and may be inaccurate, incomplete, or unsuitable for your situation. It is provided for your convenience only and is not legal, financial, medical, tax, compliance, or other professional advice. You are responsible for reviewing, verifying, and deciding whether to rely on any AI output before acting on it. To the fullest extent permitted by law, Doric Stack disclaims all liability for decisions made or actions taken based on AI output.
Recording and transcription consent is your responsibility
If you use the Software to record, capture, transcribe, or otherwise process a call, meeting, conversation, or other communication, you are solely responsible for obtaining all consents and providing all notices required by law. Recording and transcription of calls and conversations is regulated and, in many United States states and other countries, requires the consent of one party, all parties, or specific prior notice. You represent that you will comply with all applicable laws, including wiretapping, eavesdropping, two-party and all-party consent, telecommunications, privacy, and data-protection laws, in every jurisdiction where you and the other participants are located. You will not use the Software to record or process any communication without the legally required consent. You agree to indemnify and hold Doric Stack harmless from any claim arising out of your recording, capture, transcription, or processing of any communication, or your failure to obtain a required consent.
Bring-your-own-key and third-party AI providers
Where the Software lets you use your own API key or a third-party or local AI model, your use of that provider is governed by that provider’s terms, and Doric Stack is not responsible for the provider’s availability, output, pricing, or handling of data. Managed AI, where offered, is subject to the prepaid, capped usage terms shown at purchase.
Privacy
Doric Stack‘s handling of data the Software collects, such as a license email or diagnostic data, is described in the Privacy Policy.
Governing law
This Agreement is governed by the laws of Florida, United States, without regard to conflict-of-law rules. For any dispute not subject to arbitration under the Terms of Use, the exclusive venue is the state and federal courts located in Broward County, Florida.
